Item 8.01 Other Events.
As previously announced, Kiniksa Pharmaceuticals, Ltd. (the “Company” and, together with its consolidated subsidiaries, “Kiniksa”) intends to change the place of incorporation of Kiniksa’s principal holding company from Bermuda to the United Kingdom (the “Redomiciliation”). On June 14, 2024, the Supreme Court of Bermuda issued an order sanctioning the scheme of arrangement between the Company and its shareholders, which had been approved by the Company’s shareholders of record entitled to notice of and to vote at the Company’s special court-ordered meeting of shareholders on June 5, 2024. The Company expects the Redomiciliation to take effect on or around June 27, 2024.
